CMA LAW: CMA Circular No. (14) of 2026 Regarding the Update of the Supervisory Guidance on Beneficial Ownership

Greetings,

Within the scope of enhancing the efforts of anti-money laundering and combating financing of terrorism, and further to CMA’s Circular No. (12) of 2025 Regarding the Supervisory Guidance on Beneficial Ownership, issued on 08/05/2026, and in line with the ongoing efforts to enhance compliance with the requirements of recognizing the beneficial owner (real) using the latest methods, in accordance with Recommendation 24 and Recommendation 25 of the Financial Action Task Force (FATF) to be followed for preventing the misuse of legal persons and legal arrangements to conceal the ownership and control rights, kindly find attached the updated Supervisory Guidance on Beneficial Ownership, effective from the date of issuance of this circular. It includes the amendment and addition of some Items, most notably the following: 

• Adding the procedures to be considered upon the detection of any changes by any of the entities subject to the CMA’s supervision regarding the determination of the beneficial owner (real) within a legal entity or a legal arrangement, and reporting them to the Ministry of Commerce and Industry (MOCI) in accordance with the notification mechanism on the system utilized by the Ministry.

• Amending and adding Items related to the Waqf and its beneficial owner and adding an illustrative example on Waqf of real estate owned 100% by a natural person and the procedures to be taken thereon.

It should be noted that compliance with this guidance will be monitored by the CMA. Non-compliance with the aforementioned will subject you to the measures and procedures stipulated in Article (15) of Law No. 106 of 2013 Regarding Anti-Money Laundering and Combating the Financing of Terrorism, without prejudice to criminal penalties stipulated in the mentioned Law.
