Announcement regarding issuance of Disciplinary Board Resolution No. (15-2026 Disciplinary Board) (14-2026 Authority) and imposition of a fine against Mena Real Estate Company, for violating the Rules of Dealing in Securities.
For the following reasons:
Violation of the provision of Article (14-3) of Module Eleven (Dealing in Securities) of the Executive Bylaws of Law No. 7 of 2010 and their amendments. This is due to the Company’s dealing in treasury shares without obtaining the necessary approvals from the regulatory authorities, as the treasury shares item was included in the financial statements for the period ending on 30/09/2025, consisting of shares purchased by the subsidiary company, and these shares were listed as treasury shares without the CMA’s approval to buy or sell treasury shares.
The Resolution included the infliction of the following penalty: -
“Levying a fine on Mena Real Estate Company in an amount of KWD 20,000 (twenty thousand Dinars) for the attributed violation.”
In this regard, the CMA emphasizes the implementation of CMA Law and its Executive Bylaws on all persons dealing in securities activities, and urges them to comply with these Laws in order to promote investors' confidence, create a sound investment environment, and implement the Law according to the principles of fairness, transparency, and integrity in line with the best international practice.
