CMA LAW: Resolution No. (52) of 2025 Regarding the Restriction of the Securities Activities License of Massaleh Investments Company

Having Perused:
- Law No. 7 of 2010 Regarding the Establishment of the Capital Markets Authority and Regulating Securities Activities, its Executive Bylaws, and amendments thereto, and
- The securities activities license certificate for Massaleh Investments Company No. (AP/2020/0001) issued on 02/02/2026, and
- Based on CMA Board of Commissioners Resolution passed in its meeting No. (17) of 2026 held on 29/04/2026.
The Following Was Resolved:
Article (1)
The following securities activities of Massaleh Investments Company are hereby restricted:
- Collective Investment Scheme Manager.
- Subscription Agent.
The Company is limited to continuing to provide services to its current clients only. The Company is prohibited from accepting any new clients, or incorporating or marketing new collective investment schemes, until it addresses the material reservations in the report of the external auditor for the financial year that ended on 31/12/2025, provides financial statements that reflect the company’s financial condition and its ability to sustain and achieve operational profits, and enhances its future cash flows, no later than 31/03/2027.
Article (2)
Massaleh Investments Company shall set procedures to ensure the ability of its current clients to refund their funds and assets from the licensed person upon their request.
Article (3)
The Company shall prepare a plan to address the reasons for restriction of the activity and submit it to the CMA as set forth in Article (1-14-1) of Module Five (Securities Activities and Registered Persons) of the Executive Bylaws of Law No. 7 of 2010 Regarding the Establishment of the Capital Markets Authority and Regulating Securities Activities and amendments thereto.
Article (4)
The Company shall meet all legal obligations set by Law No. 7 of 2010 Regarding the Establishment of the Capital Markets Authority and Regulating Securities Activities, its Executive Bylaws, and amendments thereto.
Article (5)
The concerned bodies shall execute this Resolution, each within its jurisdiction. This Resolution shall come into force from the date of its issuance, and it shall be published in the Official Gazette.
