CMA LAW: Announcement regarding issuance of Disciplinary Board Resolution No. (07/2026 Disciplinary Board) (03/2026 Authority) and imposition of a fine against: Warba Capital Holding Company for violating the Rules of Disclosure and Transparency

Announcement regarding issuance of Disciplinary Board Resolution No. (07/2026 Disciplinary Board) (03/2026 Authority) and imposition of a fine against: Warba Capital Holding Company for violating the Rules of Disclosure and Transparency.

For the following reasons:
Violation of the requirements of Article (4-1-1) and Appendix 9 of Module Ten (Disclosure and Transparency) of the Executive Bylaws of Law No. 7 of 2010 and their amendments. The Company’s disclosure at Boursa Kuwait Securities Exchange on 31/12/2025 concerning the invitation to the meeting of the Company’s Board of Directors on 7/1/2026 and including the items of the agenda of the Board of Directors that will be discussed in the meeting, revealed that the Board of Directors have discussed an item that was not disclosed within the agenda concerning the increase of the Company’s capital, which is considered material information that should be disclosed. Warba Capital Holding Company was required to disclose the item of the Company’s capital increase in its mentioned disclosure.

The Resolution included the infliction of the following penalty: -
“Levying a fine on Warba Capital Holding Company in an amount of KWD 10,000 (ten thousand Dinars) for the attributed violation.”

In this regard, the CMA emphasizes the implementation of CMA Law and its Executive Bylaws on all persons dealing in securities activities, and urges them to comply with these Laws in order to promote investors' confidence, create a sound investment environment, and implement the Law according to the principles of fairness, transparency, and integrity in line with the best international practice.
