CMA LAW: The Capital Markets Authority Holds its 8th Awareness Workshop for the Second Quarter of 2015

Kuwait - June 2, 2015 - As part of the Capital Markets Authority (CMA) Awareness Program for the second quarter of 2015, the CMA has held its 8th workshop on Tuesday 2/6/2015 in Khaled Al-Kharafi Hall at Kuwait Stock Exchange at 12:30 p.m. The workshop was titled "Regulations Concerning Regulating the Dealings in Securities of Board of Directors Members, Executive Staff Members, and Other Insiders in Shareholding Companies, and the Method of Disclosure".
The workshop discussed the Regulations through different aspects such as the following:
- The insider
- The material information
- Scope of application of the Regulations
- Responsibilities of the issuer and the insider
- Trading ban periods of board of directors members and executive staff members
- Insiders list

The workshop also tackled the disclosure of the board members and executive staff members and their first degree relatives or spouse, in addition to the timing and method of disclosure, the receiving party, and the consequences of non-compliance.
At the end, participants Q&As were answered by the representatives of the Disclosure Department and the Legal Studies Department.

The Capital Markets Authority was established pursuant to Law No. 7/2010, approved by the Kuwaiti Parliament in February 2010, and amended by Law No. 108/2014. Pursuant to the Law, the Authority shall regulate and supervise the securities activities, achieve transparency and fairness, observe listed companies execution of the Corporate Governance Principles, and protect investors from unfair practices which violate the Authority's Law.
Furthermore, the Law's provisions stipulate the supervision of merger, acquisition, and disclosure operations. The Authority also aims to provide awareness programmes related to securities activities.
