Kuwait, 4th November 2014 – As part of the CMA awareness program which lasts until the end of this year, the 4th awareness workshop was held at 12:30 PM on Tuesday 4/11/2014 at Kuwait Stock Exchange. The workshop was entitled "Regulations Regarding the Movement of Shareholding Companies Capital, Debt Instruments, and Treasury Shares". The speakers discussed the important regulations and controls which regulate the movement of the shareholding companies' capitals. Many aspects were covered such as the jurisdictions and the tasks of the department concerned with these activities, which is the (Corporate Finance Department) through its two main sections; (Capital Structuring) and (Issuance and Offerings). The points tackled in the workshop were as follows:
- Increase or reduction of companies' capitals
- Purchase or sale of treasury shares
- Issuance of debt instruments (bonds, sukuk, others)
- Prospectuses for share offering or issuing debt instruments
- Approving the agenda of the assembly of the bonds and sukuk holders
In addition, the purposes of the controls imposed on the above mentioned activities, their scope of application, their requirements, and the adopted form for each were reviewed.
The workshop was attended by all those who are concerned with the issues of securities' activities. The CMA was represented by the Awareness Department Director, the Corporate Finance Department Director, and a representative from the Legal Affairs Sector.
The CMA would like to express its gratitude to the participants, and it looks forward to future cooperation. It would also like to note that any opinions and suggestions regarding the different CMA activities are welcomed, in particular the awareness-related matters.

The Capital Markets Authority was established pursuant to Law No. 7/2010, approved by the Kuwaiti Parliament in February 2010, and amended by Law No. 108/2014. Pursuant to the Law, the Authority shall regulate and supervise the securities activities, achieve transparency and fairness, oblige the listed companies to execute the Corporate Governance Principles, and protect the investors from the unfair practices which violate the Authority's Law.
Furthermore, the Law's provisions stipulate the supervision of the merger, acquisition, and disclosure operations. The Authority also aims at providing awareness programmes related to securities activities.
